[Mintwood-place] KCA notice requirements

Please correct me if I'm wrong, but section 29-405.05 of the DC Code
provides that a nonprofit membership corporation shall provide notice of its
regular meetings new fewer than 10 days (and no more than 60 days) before
the meeting date, unless its articles of incorporation or bylaws provide
otherwise.  As you stated, the KCA articles/bylaws don't provide otherwise.

 

As you also stated, the newsletter was delivered to the "mailing consultant"
on the Friday before the Thursday meeting, so even if it went out that day,
that wasn't 10 days notice.  Undoubtedly, the newsletter didn't go out until
Monday, and probably wasn't received by most people until Tuesday or
Wednesday.  And you still haven't posted a copy of the newsletter on the
website, so I don't even know what the newsletter said.  As to the e-mail,
that went out the Thursday before the meeting, also not 10 days beforehand.


 

Also, the KCA constitution requires a quorum of 1/30 of the membership for
meetings.  Can you let us know how many KCA members there are and how many
were present at the meeting?
