I am fine with everyone having a meeting this evening, if my consent is what
is called for.  I will not be able to attend.

dear wpfw finance committee:
 
based on my review of my email, we have not heard from tom fulcher and
ambrose lane about whether we will meet tonight on monday, may 24, at 6:30
p.m., for our second meeting of the wpfw finance committee.  moreover, tom
fulcher, as the present chairperson pro tem, has not called a second meeting
of the finance committee.  this seems to be an unfortunate development.  we
clearly need to meet in order to do the work of the wpfw finance committee.
however, unless our chairperson pro tem  or our group as a unanimous body
calls for a meeting, we cannot meet tonight in formal session.  i make this
observation based on article 7, section (6)(B), of the pacifica national
bylaws which prescribe a majority vote on ten-days notice in order for us to
convene a meeting, that is, unless we vote unanimously for holding an
emergency meeting.  pacifica national bylaws, article 7, section (6)(B)(as a
pplied to the committee by article 7, section (10) of the bylaws).
 
although we will be substantially delayed as a result of these
circumstances, i suggest that we follow the bylaws and, by way of a majority
of our members, properly convene a meeting wherein we would elect a
chairperson, a vice-chairperson, and a secretary and, afterwards, set an
emergency meeting that would take place the next day or so.  according to
the pacifica national bylaws, we need simply a majority of our members to
convene a meeting in ten days on thursday, june 3, probably at 6:30 p.m.  at
that meeting, if we had not done so before then by email, we could agree on
an agenda for an emergency meeting for the next day (which would be a
friday) or, better yet, for the following saturday which would be june 5.
in fact, whereas rob robinson and i disagreed about an agenda for a second
meeting, we could have a long meeting on saturday, june 5, at which meeting
we could discuss every item that rob robinson a nd i proposed and hence take
the time to address every issue then before the finance committee.  in fact,
i propose that, to save time, we as a majority agree by email that we will
have a meeting on june 3 for the election of committee leadership and on
june 5 wherein we would discuss all the items that rob robinson and i
proposed in our emails calling for a meeting tonight.  if we as a majority
adopt this proposal, then at the least we will move forward despite the
delays we have had to endure of late because of genuine disagreements about
procedures and policies.
 
although this idea keeps us from doing work for ten days and and keeps us
from finishing much of our work for twelve days, we must realize that we do
not have unanimity for an emergency meeting before then.  yet, on thursday,
june 3, and, on saturday, june 5, we could legitimately elect our leadership
and discuss every issue, without regard for time, so that we can do the work
of the committee, albeit somewhat late, but with a mind towards moving
forward.  in the meantime, if tom fulcher proves to be willing to call a
meeting on the basis of the authority granted to him by the local station
board, we can meet tonight if ambrose expresses consent by email to the
committee or by telephone call to tom fulcher.  however, even with that, we
need to get ambrose's explicit consent by email to the committee or by
telephone call to tom fulcher.  see  pacifica national bylaws, article 7,
section (6 )(B).  i see no other alternative before our committee.
 
as for tom fulcher, i see no written or other clear statement by which he
resigns from serving as chairperson pro tem.  i worry that he seems to avoid
his obligation to call a second meeting of our committee.  however, unless
we elect a chairperson, we have no chairperson besides tom fulcher; that is,
assuming he has not resigned.  in the meantime, we can tie ourselves down
for weeks or longer with procedural debates.  on the other hand, tom fulcher
can adopt and agree to the call for a meeting tonight, particularly if we
get ambrose's explicit consent before then.  otherwise, we have to act as a
majority and call a legitimate meeting on ten-days notice as required by the
bylaws.  in other words, if all else fails, we need to rely on our bylaws
and proceed according to the appropriate rule.
